The terms governing your use of SwitchPitch and its services.
Introduction & Acceptance
BY USING OR ACCESSING THE SITE, YOU ACCEPT AND AGREE TO THESE TERMS OF USE AND YOU AGREE TO ABIDE BY ALL APPLICABLE LAWS AND REGULATIONS REGARDLESS OF YOUR PHYSICAL LOCATION. These terms constitute a binding contract between users and SwitchPitch, LLC, based in Washington DC. If you do not agree, please do not use the Site.
Changes to Terms & Service
SwitchPitch reserves the right to alter these terms, privacy policies, and site features at any time, with or without notice. Continued usage after posted changes constitutes acceptance of new terms.
Opt-In Requirements
Participation is entirely voluntary. Basic site access doesn't require registration or personal information. However, accessing certain features requires providing an email address and other information, governed by the Privacy Policy.
Software Services Provision
SwitchPitch grants users a limited, non-exclusive, non-transferable and non-sub-licensable right to access Software Services and documentation during the service term, subject to agreement compliance.
Evaluation licenses are temporary, non-exclusive arrangements for pre-purchase testing. These services are provided AS IS without indemnification, support, or warranty of any kind.
Client Obligations & License Restrictions
Clients must ensure compliance with the agreement, bear responsibility for Client Data accuracy and legality, and restrict Software Services access to authorized users only.
Clients cannot: resell, rent, or lease the Software Services; modify, reverse engineer, or decompile the code; remove proprietary notices; use the service if they are direct competitors monitoring performance; transmit infringing, libelous, or unlawful material; or interfere with service integrity.
Fees & Payments
All orders are final. Fees are due according to website specifications. All payments must be in US dollars. Fees are non-refundable except as expressly stated. Payment defaults allow SwitchPitch to suspend or terminate services.
Account Modifications
Users may upgrade or downgrade account types at any time. Upgrades take immediate effect with immediate billing. Downgrades take effect at the next renewal term.
Term & Termination
Agreements continue from the effective date through the specified Initial Service Term, then automatically renew unless either party requests termination 30 days before term expiration.
Either party may terminate for material breach (with 30-day cure period) or immediately for bankruptcy, IP infringement, or confidentiality breaches. Termination does not eliminate accrued fee obligations.
Client Data
SwitchPitch treats uploaded client data as confidential and the client's sole property. Clients bear responsibility for maintaining backups — SwitchPitch is not liable for data loss or corruption. If legally compelled to disclose client data, SwitchPitch will attempt to provide prompt notice to allow objection.
User Responsibilities
The site is for personal, non-commercial use only. Users cannot modify, copy, distribute, or reverse engineer site materials. Users cannot submit unlawful, threatening, abusive, harassing, or fraudulent content; impersonate persons or entities; transmit malicious code; or use the site for commercial gain without written consent.
Intellectual Property Rights
SwitchPitch owns all intellectual property in site design and content, protected by international treaties and copyright, trademark, patent, and trade-secret laws. IP infringement claims should be reported immediately to info@switchpitch.com.
Disclaimer
The site and all information are provided "AS IS" and without warranties of any kind, either express or implied. SwitchPitch does not warrant uninterrupted function, error-free operation, or virus-free servers.
Liability Limitations
The exclusive remedy for disputes is discontinuing site use. SwitchPitch is not liable for direct, indirect, incidental, special, punitive, or consequential damages arising out of or in connection with the Site. Total liability for any damages cannot exceed $100.
Indemnification
Upon request, users must defend, indemnify, and hold harmless SwitchPitch, its affiliates, employees, officers, directors, and agents from losses, damages, and costs arising from user breaches or misuse.
Dispute Resolution & Governing Law
District of Columbia law governs all matters. Any disputes are finally settled by DC courts. Users agree to personal jurisdiction submission to DC courts, single-judge trials without jury, and a one-year statute of limitations.
Severability & Integration
These terms and supplemental policies constitute the entire agreement, superseding previous written or oral agreements. Invalid provisions do not affect remaining terms' validity.
