Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SwitchPitch platform, websites, applications, APIs, and related services (collectively, the "Services") provided by SwitchPitch ("SwitchPitch," "we," "our," or "us").

By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1. Use of Services

You may use the Services only in compliance with these Terms and all applicable laws and regulations. You are responsible for your use of the Services and for any activity that occurs under your account.

You agree not to:

• Use the Services for any unlawful purpose
• Interfere with or disrupt the Services
• Attempt to gain unauthorized access to any systems or data
• Reverse engineer, copy, or create competing services based on the Services or underlying data

2. Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account.

If you are using the Services through an organization or enterprise account:

• Your organization may have access to your activity, submissions, and usage data
• Administrators may manage, monitor, and control account access and content

3. Additional Product Terms

Certain SwitchPitch products, features, or offerings may be subject to additional terms, conditions, or guidelines ("Additional Terms"). These Additional Terms are incorporated into and form part of these Terms.

For example, the SwitchPitch Explorer offering is governed by separate Explorer Terms, which supplement these Terms. In the event of a conflict between these Terms and any Additional Terms, the Additional Terms will control with respect to the applicable product or feature.

4. User Content and Data Sharing

You may submit content to the Services, including business needs, project descriptions, company data, startup profiles, reviews, comments, recommendations, and other materials ("User Content").

By submitting User Content, you grant SwitchPitch a non-exclusive, worldwide, royalty-free license to use, process, store, display, analyze, and share such content as necessary to operate, improve, and provide the Services.

The Services may involve sharing User Content, including in anonymized, partially anonymized, aggregated, or summarized form, with third parties such as venture capital firms, accelerators, universities, corporate partners, startups, or other ecosystem participants.

SwitchPitch may take steps to limit identifying information. However, SwitchPitch does not guarantee that User Content cannot be re-identified, inferred, or attributed to a specific user or organization.

You are solely responsible for ensuring that:

• You have the right to submit the content
• The content does not include confidential, proprietary, or sensitive information you are not authorized to share

5. Third-Party Content and Interactions

The Services may include content, recommendations, introductions, or other information provided by third parties, including venture capital firms, accelerators, universities, startups, corporate users, and other ecosystem participants.

SwitchPitch does not control, endorse, or guarantee the accuracy, completeness, or quality of any third-party content or interaction.

SwitchPitch acts solely as a technology platform. SwitchPitch is not a broker, advisor, agent, or fiduciary. Any interactions, decisions, or transactions between users and third parties are made at your own discretion and risk.

6. No Guarantee of Results

The Services are designed to facilitate discovery, evaluation, and collaboration. SwitchPitch does not guarantee any specific outcomes, including:

• Matches or recommendations
• Introductions or responses
• Partnerships, pilots, or commercial agreements
• Business outcomes or return on investment

All use of the Services is at your own risk.

7. Data, Analytics, and AI Features

Certain features of the Services may utilize artificial intelligence, machine learning, automated analysis, or similar technologies ("AI Features") to generate recommendations, summaries, comparisons, search results, insights, reports, scores, or other outputs.

AI-generated outputs may be incomplete, inaccurate, inconsistent, outdated, or unsuitable for your intended use. Such outputs are provided for informational purposes only and should not be relied upon as the sole basis for legal, financial, medical, employment, compliance, investment, business, or other high-risk decisions.

You are solely responsible for reviewing, validating, and evaluating all AI-generated outputs before relying on or acting upon them.

SwitchPitch does not guarantee the accuracy, completeness, reliability, legality, or fitness for a particular purpose of any AI-generated output and disclaims liability arising from the use of or reliance upon such outputs.

Certain AI Features may utilize third-party artificial intelligence service providers to process customer inputs and generate outputs solely for the purpose of providing the Services. Unless otherwise expressly agreed in writing, customer data submitted through the Services is not used to train public foundation models.

You may not use the AI Features:

• in violation of applicable law or regulation;
• to generate unlawful, harmful, fraudulent, discriminatory, or misleading content;
• to infringe the rights of others;
• or to attempt to reverse engineer, probe, or misuse the underlying AI systems or models.

SwitchPitch may modify, suspend, limit, or discontinue AI Features at any time without liability or prior notice.

8. Aggregated and Anonymized Data

SwitchPitch may create, use, and retain aggregated, anonymized, or de-identified data derived from use of the Services.

Such data may be used for:

• Improving the platform
• Benchmarking and analytics
• Market intelligence
• Product development

This data will not directly identify a specific user or organization.

9. Startup and Market Data

The Services may include company, startup, university, funding, partnership, or market data sourced from public information, third-party providers, and user submissions.

SwitchPitch does not guarantee that such data is complete, accurate, or current. Users may request updates or corrections, but SwitchPitch is not obligated to modify any content.

10. API and Data Usage Restrictions

If SwitchPitch provides API access or data exports, you may use them only in accordance with these Terms and any applicable agreements.

Unless expressly authorized, you may not:

• Resell or redistribute data
• Create competing databases or services
• Bulk download or scrape platform content
• Use the data to train competing models

SwitchPitch may monitor usage and restrict access for misuse or excessive usage.

11. Beta, Trial, and Free Services

Certain offerings, including free or Explorer accounts, may be provided on an "as is" and "as available" basis.

SwitchPitch may modify, limit, or discontinue these offerings at any time without notice and makes no guarantees regarding availability or functionality.

12. Intellectual Property

SwitchPitch and its licensors retain all rights, title, and interest in and to the Services, including all software, data, content, and intellectual property.

Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from the Services.

13. Termination

SwitchPitch may suspend or terminate your access to the Services at any time, including for violation of these Terms or misuse of the platform.

You may stop using the Services at any time.

14. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SWITCHPITCH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

16. Indemnification

You agree to indemnify and hold harmless SwitchPitch and its affiliates, officers, employees, and partners from any claims, damages, or expenses arising from:

• Your User Content
• Your use of the Services
• Your interactions with third parties
• Your violation of these Terms
• Your violation of applicable law

17. Changes to Terms

SwitchPitch may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

18. Governing Law

These Terms are governed by the laws of the District of Columbia, without regard to conflict of law principles.
